OMNI blvd® Terms of Service

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE PLATFORM AND SERVICES. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH OMNI blvd®, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE, AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF SERVICE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT. CERTAIN PORTIONS OF THE PLATFORM MAY BE SUBJECT TO OPEN SOURCE OR FREE SOFTWARE LICENSES. SUCH COMPONENTS WILL BE GOVERNED BY THE TERMS OF THEIR RESPECTIVE LICENSES AND NOT BY THESE TERMS.

ONCE ACCEPTED, THESE TERMS OF SERVICE, IN COMBINATION WITH OUR PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND AFFILIATE AGREEMENT (WHERE APPLICABLE) (COLLECTIVELY THE “TERMS”), BECOME A BINDING LEGAL COMMITMENT BETWEEN YOU (OR THE BUSINESS ENTITY THAT YOU REPRESENT) AND OMNI blvd® AND ITS RESPECTIVE OFFICERS, DIRECTORS, BUSINESS AFFILIATES, SUCCESSORS, AND ASSIGNS (HEREINAFTER REFERRED TO AS “OMNI blvd®,” “WE,” OR “US”) AND WILL GOVERN YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL OTHER INTERACTIONS WITH OMNI blvd® RELATED TO THE PLATFORM.

OMNI blvd® reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms.

OMNI blvd® is only providing the Platform for your business use without any promise of exclusivity. OMNI blvd® customers, users, entrepreneurs, affiliate marketers, experts, and partners are not OMNI blvd® employees, contractors, or representatives. OMNI blvd® is not responsible for any interactions between you and your customers other than providing access to the Platform. OMNI blvd® is not liable for any disputes, claims, losses, injuries, or damages arising from your relationship with your customers, including their reliance upon any information or content you provide. You agree and acknowledge that you are responsible for implementing your own terms of service to govern the relationship between you and your customers. You should consult a lawyer for legal advice to ensure your use of the Platform complies with these Terms and applicable law.

1. Use of Platform

1.1 Restrictions

You must be at least eighteen (18) years old to use the Platform. By accepting these Terms, creating a Platform Account, or using the Platform, you represent that you are at least eighteen (18) years old.

You may not use the Platform or Services if you are an employee, partner, contractor, consultant, or director of a direct competitor of OMNI blvd® and intend to gain access to the Platform for competitive analysis, duplication, reverse engineering, or similar competitive purposes.

1.2 Platform Account Ownership

Your use of the Platform is conditioned on your provision of complete, current, and accurate information when registering for a Platform Account.

The Platform is intended for business use or use in connection with an individual’s trade, craft, or profession.

As the individual who accepts these Terms, you are the owner of the Platform Account unless you are acting on behalf of a business entity, in which case the business entity is the owner of the Platform Account.

If multiple parties claim ownership of a Platform Account, OMNI blvd® may require government-issued documentation, proof of business ownership, or additional verification before determining ownership.

If OMNI blvd® is unable to determine the rightful owner, OMNI blvd® reserves the right to suspend or restrict access to the Platform Account until ownership is resolved.

1.3 Intended Use

You and your customers may use the Platform only for lawful purposes and in accordance with these Terms.

You represent and warrant that:

- You and your customers will comply with all applicable laws and regulations.

- You are fully responsible for your employees, contractors, users, and customers.

- You own or control all rights to all content uploaded or submitted through the Platform.

- You will not misrepresent the Platform or Services.

- You will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or architecture of the Platform.

- You will not remove proprietary notices, branding, or labels.

- You will not provide Platform access to direct competitors of OMNI blvd®.

1.4 Compliance

You are solely responsible for your use of the Platform and Services, including compliance with all applicable laws and regulations, including but not limited to privacy laws, marketing laws, telecommunications laws, HIPAA, PCI DSS, TCPA, CAN-SPAM, and consumer protection laws.

OMNI blvd® does not represent or warrant that your use of the Platform complies with any law or regulation.

You further acknowledge and agree to comply with all messaging guidelines and industry standards related to A2P 10DLC registration, opt-in collection, campaign vetting, and consumer privacy.

Failure to comply may result in suspension or termination of messaging services.

HIPAA-related functionality, automations, AI systems, or configurations offered by OMNI blvd® do not, by themselves, guarantee compliance with HIPAA or any healthcare privacy or security regulation. HIPAA compliance depends on proper customer configuration, operational practices, employee training, access controls, third-party integrations, and execution of any required Business Associate Agreements (“BAAs”).

Customers are solely responsible for determining whether their use of the Platform complies with HIPAA and other applicable healthcare privacy laws and regulations.

1.5 Privacy

Your use of the Platform is also governed by the OMNI blvd® Privacy Policy.

You represent and warrant that you have obtained all necessary permissions and consents to upload, process, store, and transmit data through the Platform.

When providing your customers access to the Platform, you are responsible for implementing your own privacy policy and terms of service.

1.5.1 SMS Messaging & Consent

By submitting a phone number through the Platform or otherwise providing it to OMNI blvd®, you consent to receive SMS and MMS messages from us and our partners, including account-related notifications, appointment reminders, operational communications, and promotional messages.

Message frequency varies. Message and data rates may apply.

You may opt out at any time by replying STOP.

You represent and warrant that you have obtained proper consent from all contacts and recipients before sending communications through the Platform.

1.6 Login Credentials

You are responsible for maintaining the confidentiality of your Login Credentials.

You are responsible for all activity occurring under your Platform Account, whether authorized or unauthorized.

You agree to immediately notify OMNI blvd® of any unauthorized access or security breach.

Platform Accounts are non-transferable without written authorization from OMNI blvd®.

1.7 Use of Communication Services

The Platform may include SMS, MMS, email, voice calling, AI voice systems, and related communication tools.

Communication surcharges and usage fees may apply.

You are solely responsible for:

- obtaining all required consents,

- maintaining opt-in records,

- honoring opt-out requests,

- complying with carrier requirements,

- complying with TCPA, CAN-SPAM, CTIA guidelines, and related laws.

OMNI blvd® is a technology platform provider only.

OMNI blvd® does not originate communications and is not responsible for communications initiated by you or your customers.

1.8 Third-Party Services

The Platform may integrate with third-party services including but not limited to GoHighLevel, LeadConnector, Twilio, Stripe, Google, Meta, OpenAI, and other providers.

Your use of third-party services is governed by the policies and agreements of those third parties.

OMNI blvd® is not responsible for outages, failures, interruptions, or damages caused by third-party services.

1.9 Third-Party Content

Third-party content is provided for informational purposes only.

OMNI blvd® does not endorse, verify, or guarantee third-party content.

Your use of third-party content is at your own risk.

1.10 Excessive Use Restrictions

OMNI blvd® reserves the right to limit, throttle, suspend, or terminate accounts that, in OMNI blvd® sole discretion:

- excessively consume resources,

- negatively impact system performance,

- create operational burdens,

- abuse trial systems,

- create disproportionate support or infrastructure costs.

1.11 Platform Updates

OMNI blvd® may modify, update, discontinue, or remove any aspect of the Platform at any time without notice.

Your use of the Platform is not contingent upon the future delivery of any feature or functionality.

1.12 International Use

You are responsible for complying with all local laws applicable to your use of the Platform.

You may not use the Platform in any jurisdiction prohibited by applicable export control laws or sanctions.

1.13 Artificial Intelligence

Before using AI-powered features of the Platform, you must ensure that your use complies with all applicable laws and regulations.

Your use of AI features is also subject to Exhibit B – Artificial Intelligence Acceptable Use Policy.

1.13.1 Artificial Intelligence Disclaimer

Artificial Intelligence (“AI”) features made available through the Platform may generate outputs, responses, recommendations, summaries, automations, voice interactions, or content that may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your intended use.

You acknowledge and agree that all AI-generated content and outputs must be independently reviewed and verified by you prior to reliance or use.

OMNI blvd® makes no warranties regarding the accuracy, reliability, legality, or fitness of AI-generated outputs for any specific purpose.

You are solely responsible for all decisions, communications, automations, actions, and content generated or distributed using AI features of the Platform.

1.14 Domain Names

If you use the Platform to purchase or manage a domain name, OMNI blvd® may assist with registration, configuration, renewal, or technical management of the domain on your behalf.

Unless otherwise agreed in writing, the customer shall remain the beneficial owner of the domain name.

OMNI blvd® may temporarily act as the administrative or technical contact for operational purposes.

Upon written request and subject to payment of all outstanding balances, OMNI blvd® will reasonably cooperate in transferring domain management access to the customer.

1.15 Customer Account Transfer Requests

OMNI blvd® will not fulfill Sub-Account transfer requests without proper authorization and verification.

OMNI blvd® does not transfer customer accounts, Sub-Accounts, snapshots, workflows, websites, funnels, contacts, or related Platform assets to other white-label GoHighLevel agencies, resellers, or competing platforms.

Where technically feasible and permitted by GoHighLevel policies, OMNI blvd® will facilitate a direct transfer of the customer account to GoHighLevel so the customer may maintain continued access to their account content and data.

All transfer requests are subject to:

- verification of account ownership,

- payment of outstanding balances,

- compliance with applicable Platform policies,

- carrier compliance requirements,

- fraud and security review.

OMNI blvd® reserves the right to deny or delay transfers involving fraud, abuse, legal disputes, carrier violations, security concerns, or unpaid balances.

OMNI blvd® does not guarantee uninterrupted functionality, preservation of third-party integrations, AI systems, phone numbers, email services, workflows, snapshots, custom code, or custom configurations following transfer to GoHighLevel.

Proprietary OMNI blvd® intellectual property, including but not limited to proprietary AI agents, custom automations, workflows, snapshots, prompt structures, AI logic systems, deployment systems, templates, internal processes, and related configurations developed or licensed by OMNI blvd® are not included as part of any account transfer unless otherwise agreed to in writing by OMNI blvd®.

Such proprietary systems and configurations shall remain the sole intellectual property of OMNI blvd® and may be removed prior to or during the transfer process.

1.16 Bug Bounty Program

OMNI blvd® does not maintain a public bug bounty program.

Unauthorized penetration testing, security scanning, or vulnerability probing is prohibited.

1.17 Ecommerce Products and Services

You are solely responsible for all products, services, pricing, taxes, customer support, refunds, compliance obligations, and legal disclosures associated with goods or services sold through the Platform.

OMNI blvd® is not the merchant of record.

1.18 Restrictions

You may not:

engage in deceptive or unethical conduct,

impersonate OMNI blvd® employees,

damage the reputation of OMNI blvd®,

misuse Platform systems,

engage in illegal activity,

misuse AI systems,

send spam or unlawful communications.

1.19 Suspension and Termination

OMNI blvd® reserves the right to suspend, restrict, or terminate your access to the Platform or Services, with or without notice, if:

- you violate these Terms,

- your use creates legal, financial, operational, or reputational risk,

- your account becomes delinquent,

- your use violates carrier requirements,

- suspension is necessary to protect the Platform, users, or third parties.

OMNI blvd® shall not be liable for any losses resulting from suspension or termination.

1.20 Code of Conduct

Your use of the Platform is subject to the Code of Conduct attached as Exhibit A.

2. Payment

2.1 Fees and Auto-Renewal

You agree to provide accurate billing information.

Subscription fees, usage fees, communication surcharges, AI usage fees, add-ons, and related charges may apply.

Subscriptions automatically renew unless canceled.

2.2 Wallets and Rebilling

OMNI blvd® may offer wallet-based billing functionality.

You authorize OMNI blvd® to charge your payment method to replenish wallet balances and cover negative balances.

2.3 Late Payments and Payment Disputes

Accounts with failed payments may be suspended or terminated.

You are responsible for all collection costs, chargeback fees, attorney fees, and related expenses.

2.4 Cancellations

You may cancel your subscription through your account settings or by contacting support.

You remain responsible for all charges incurred prior to cancellation.

2.5 Refunds

All fees are non-refundable unless otherwise required by law.

This includes:

- subscription fees,

- setup fees,

- AI usage fees,

- communication fees,

- third-party service fees,

- onboarding fees,

- custom development fees.

OMNI blvd® reserves the right to issue credits or refunds at its sole discretion.

3. Affiliate Program

Participation in the OMNI blvd® Affiliate Program is subject to approval and separate Affiliate Terms.

4. Intellectual Property

4.1 OMNI blvd® Marks

OMNI blvd® trademarks, logos, branding, and related intellectual property may not be used without prior written consent.

4.2 User Contributions

You retain ownership of content you submit to the Platform.

You grant OMNI blvd® a worldwide, non-exclusive license to use such content solely for purposes of operating, supporting, improving, and providing the Platform.

4.3 Prohibited User Contributions

You may not upload content that:

- violates applicable law,

- infringes intellectual property rights,

- contains malware,

- contains unlawful, abusive, harassing, fraudulent, or deceptive content.

4.4 Feedback

Any suggestions, ideas, or feedback submitted to OMNI blvd® may be used without restriction or compensation.

4.5 Usage Data

OMNI blvd® may collect anonymized and aggregated usage data for operational, analytical, security, marketing, and improvement purposes.

5. Disclaimers

OMNI blvd® makes no guarantees regarding:

- business profitability,

- revenue generation,

- marketing performance,

- AI accuracy,

- SEO rankings,

- deliverability,

- uptime,

- carrier approvals,

- uninterrupted service.

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

OMNI blvd® DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

YOU USE THE PLATFORM AT YOUR OWN RISK.

5.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI blvd® SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

OMNI blvd® TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO OMNI blvd® DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

6. Limitation On Time to File Claims

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM OCCURRED; OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.

7. Injunctive Relief

You agree that a breach of these Terms may cause irreparable harm to OMNI blvd® for which monetary damages may be insufficient.

OMNI blvd® may seek equitable relief without bond.

8. Waiver and Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

9. Assignment

OMNI blvd® may assign these Terms without notice.

You may not assign these Terms without written consent from OMNI blvd®.

10. Entire Agreement

These Terms constitute the complete agreement between you and OMNI blvd® regarding the Platform.

11. Term and Termination

These Terms remain effective while you maintain a Platform Account.

11.1 Grounds for Termination

OMNI blvd® may terminate access for:

- violations of these Terms,

- fraud,

- abuse,

- illegal activity,

- excessive chargebacks,

- non-payment,

- security risks.

11.2 No Right to Services Upon Termination

Upon termination, your access to the Platform immediately ceases.

11.3 Third-Party Users

Users receiving Platform access through a reseller or third party must contact that party regarding subscription-related issues.

11.4 Force Majeure

OMNI blvd® shall not be liable for delays or failures caused by events beyond its reasonable control.

11.5 Account Transfer Upon Termination

In the event of cancellation or termination of Services with OMNI blvd®, OMNI blvd® does not transfer customer accounts to other white-label GoHighLevel agencies.

Where technically feasible and permitted by GoHighLevel policies, OMNI blvd® may facilitate a direct transfer of the customer’s account to GoHighLevel so the customer may retain continued access to their content, contacts, automations, websites, funnels, assets, and account data.

Such transfers are subject to:

- account standing,

- payment of outstanding balances,

- compliance with platform policies,

- customer cooperation.

OMNI blvd® does not guarantee uninterrupted functionality or preservation of third-party integrations, workflows, snapshots, AI systems, phone numbers, or custom configurations following transfer.

11.6 Data Retention and Deletion

Following cancellation or termination, OMNI blvd® may retain customer data for up to thirty (30) days for recovery assistance, compliance, backup, operational, transfer, or security purposes.

After such period, OMNI blvd® may permanently delete data without liability.

Customers are solely responsible for exporting and backing up data prior to cancellation.

12. Applicable Law, Arbitration, and Class Action Waiver

These Terms are governed by the laws of the State of Florida.

Any dispute arising out of these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association.

Arbitration shall occur in Sarasota County, Florida.

All disputes must be brought individually and not as part of a class action.

13. Communications and Contact Information

Notices to OMNI blvd® must be sent to:

[email protected]

OMNI blvd® may contact you using information associated with your account.

14. Definitions

Definitions used throughout these Terms shall apply as commonly understood within the Platform and Services.

EXHIBIT A

CODE OF CONDUCT

The following activities are prohibited:

- unlawful activity,

- spam,

- phishing,

- malware,

- unauthorized access,

- harassment,

- hate speech,

- child exploitation,

- deceptive practices,

- unauthorized AI usage,

- illegal financial activity,

- unauthorized medical or legal advice,

- violations of telecommunications laws,

- political misuse violating applicable laws,

- generation of fraudulent reviews or deceptive content.

- Violation of this Code of Conduct may result in immediate suspension or termination.

EXHIBIT B

ARTIFICIAL INTELLIGENCE ACCEPTABLE USE POLICY

AI features may not be used:

in violation of applicable law,

- for discrimination,

- for harassment,

- for deceptive practices,

- for unlawful surveillance,

- for unauthorized professional advice,

- for spam or misinformation,

- for unlawful political manipulation,

- for malicious activity,

- for cybersecurity attacks.

You must disclose to end users when they are interacting with an AI-powered voice system, chatbot, conversational assistant, or automated communication system where required by law.

You are solely responsible for all AI-generated content and communications generated through the Platform.
